Effective September 27, 2026
These Terms govern access to and use of the XRVE Reliability website, software, assessments, reports, recommendations, portals, documentation, and related services. XRVE Reliability is provided by XRVE Group LLC. By accessing or using the Services, submitting data, creating an account, purchasing Services, or affirmatively accepting these Terms, you agree to them. If you act for an organization, you represent that you have authority to bind that organization.
XRVE Reliability analyzes maintenance, reliability, planning, asset, work-order, PM, failure, backlog, and related information using software, artificial intelligence, statistical analysis, rules-based systems, proprietary methods, and human expertise. Outputs are decision support. XRVE Reliability does not assume operational control of customer facilities, equipment, maintenance organizations, employees, contractors, or processes.
Customer retains sole and exclusive authority to determine whether, when, where, and how any XRVE Reliability Output is implemented. No Output requires Customer to act or refrain from acting. Customer is solely responsible for implementing, modifying, partially implementing, deferring, rejecting, or replacing any recommendation.
Customer's implementation decision is Customer's independent operational decision.
Before implementation, Customer must independently evaluate the Output against actual field conditions, equipment configuration and condition, OEM requirements, approved engineering information, site procedures, safety requirements, operating conditions, environmental conditions, quality requirements, production requirements, and applicable law. Customer is responsible for obtaining review from appropriately qualified personnel.
XRVE Reliability may subject Outputs to human review, including review by founders, owners, officers, employees, contractors, consultants, or Joshua Rivera. Human review is analytical quality control and maintenance/reliability review. It is not work authorization, engineering approval, professional engineering certification, safety certification, OEM approval, regulatory approval, approval of a maintenance procedure or machine modification, certification that equipment is safe to operate, or authorization to return equipment to service.
Review, discussion, prioritization, approval for release, release, publication, transmission, or delivery of an Output does not transfer Customer's implementation responsibility to XRVE Reliability.
All disclaimers, liability limitations, Customer-responsibility provisions, and risk allocations apply equally to automatically generated, AI-assisted, manually prepared, partially reviewed, and fully human-reviewed Outputs. Human review does not create an additional warranty, professional engineering relationship, fiduciary duty, or assumption of Customer operational responsibility.
If an Output conflicts with applicable law, safety requirements, lockout/tagout requirements, permits, approved engineering documents, site standards, OEM specifications, manufacturer instructions, verified equipment documentation, or instructions from appropriately qualified authorized personnel, the authoritative requirement controls.
Unless expressly authorized under a separate written agreement, Customer may not configure XRVE Reliability to autonomously start or stop machinery, energize or de-energize equipment, modify PLC, DCS, SCADA, CNC, robotic, or safety logic, bypass protective devices, authorize hazardous work, approve startup, or execute another safety-critical physical action.
Unless a separate signed Statement of Work expressly provides otherwise, XRVE Reliability does not perform or assume responsibility for field verification, physical equipment inspection, maintenance execution, employee or contractor supervision, hazard analysis, lockout/tagout, permitting, management of change, commissioning, post-maintenance testing, startup authorization, or return-to-service authorization.
To the maximum extent permitted by applicable law, Customer assumes the operational and implementation risks associated with Customer's decision to implement, modify, misuse, defer, reject, or otherwise act upon an Output, including where the Output was personally reviewed, discussed, recommended, prioritized, or released by XRVE Reliability personnel.
To the maximum extent permitted by law, XRVE Reliability's founders, owners, officers, employees, contractors, consultants, and representatives do not incur personal liability to Customer solely because they generated, reviewed, discussed, recommended, approved for release, transmitted, or delivered an Output. Customer's contractual relationship is with the XRVE Reliability contracting entity identified in the applicable agreement or order form.
Unless expressly identified in a separate signed agreement and performed in accordance with applicable licensing requirements, XRVE Reliability Services do not constitute professional engineering services. Outputs are not a PE seal, engineering certification, engineering approval, or assumption of responsible charge. Customer is responsible for determining when licensed professional review is required.
Customer retains ownership of information it submits to XRVE Reliability. Customer grants XRVE Reliability a limited right to process that information as reasonably necessary to provide the Services, generate requested Outputs, provide support, maintain security, troubleshoot issues, prevent misuse, and comply with law. Customer represents that it has the rights and approvals necessary to provide submitted data.
XRVE Reliability retains all right, title, and interest in the Services and related software, code, system architecture, analytical methods, algorithms, prompts, orchestration methods, scoring methodologies, normalization techniques, maintenance libraries, taxonomies, workflows, report-generation methods, templates, documentation, know-how, trade secrets, and improvements. Payment for a Customer-specific deliverable does not transfer ownership of the underlying XRVE Reliability technology or methods.
Subject to payment of applicable fees, Customer may use Customer-specific reports, assessments, recommendations, analyses, exports, and deliverables for its internal business purposes. Customer-specific factual information derived from Customer Data remains Customer information.
Customer may not unlawfully use the Services, circumvent security or licensing controls, introduce malicious code, attempt unauthorized access, resell access without authorization, systematically extract proprietary functionality, or reverse engineer proprietary software except where a restriction is prohibited by law.
Fees, payment terms, service periods, subscriptions, and deliverables may be stated in a checkout flow, proposal, Order Form, Statement of Work, or Customer Agreement. Unless a written service-level agreement states otherwise, XRVE Reliability does not guarantee uninterrupted or error-free availability.
XRVE Reliability does not guarantee elimination of failures, prevention of downtime, increased production, reduced maintenance cost, higher OEE, increased MTBF, reduced MTTR, elimination of safety incidents, identification of every failure mode, or any particular financial result. Results depend on Customer data, field conditions, equipment condition, workmanship, operating practices, personnel, and other circumstances outside XRVE Reliability's control.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." XRVE RELIABILITY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RESULTS. XRVE RELIABILITY DOES NOT WARRANT THAT EVERY OUTPUT WILL BE ACCURATE, COMPLETE, APPROPRIATE, OR APPLICABLE TO CUSTOMER'S PARTICULAR EQUIPMENT OR FACILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XRVE RELIABILITY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST PRODUCTION, LOST REVENUE, BUSINESS INTERRUPTION, DOWNTIME, LOST OPPORTUNITY, LOSS OF GOODWILL, OR LOSS OF DATA.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XRVE RELIABILITY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT CUSTOMER PAID TO XRVE RELIABILITY DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR FREE SERVICES, AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS.
Nothing in these Terms limits liability where applicable law prohibits limitation.
To the extent permitted by law, Customer will defend, indemnify, and hold harmless XRVE Reliability and its owners, officers, employees, contractors, and affiliates from third-party claims arising from Customer's unlawful use, Customer Data that infringes third-party rights, unsafe or unauthorized implementation, implementation without required technical or safety review, Customer equipment operation or maintenance activities, or Customer's violation of these Terms or applicable law.
Unless separately agreed in writing, Customer may not use XRVE Reliability to make or materially influence consequential decisions concerning an individual's employment, compensation, credit, lending, housing, insurance, healthcare, education, government benefits, or eligibility for essential services.
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Unless another signed dispute-resolution agreement applies, judicial proceedings will be brought in a court of competent jurisdiction in Colorado.
XRVE Reliability may update these Terms prospectively. A separately signed Customer Agreement or Order Form controls over inconsistent website Terms to the extent of the inconsistency. Changes to these Terms do not retroactively alter a separately signed agreement unless that agreement expressly permits the change.
